Welcome to PrepCoach ("Service", "Platform", "we", "us", or "our"). By accessing or using our nutrition coaching and meal planning platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account and using PrepCoach, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

2. Description of Service

PrepCoach is a software platform offering:

• Meal planning and nutrition tracking tools
• Coach-client communication and messaging
• Progress tracking and check-in submission features
• Food database and macro calculation tools
• Subscription-based access to premium coaching features

PrepCoach facilitates the delivery of coaching services between independent coaches and their clients. PrepCoach does not employ coaches, develop meal plans, or endorse specific dietary approaches.

3. Platform Disclaimer and Scope of Service

3.1 Platform Role

PrepCoach operates solely as a software platform and technology service. We provide the tools and infrastructure for coaches to create, organize, and deliver nutrition plans to their clients. PrepCoach is not a nutrition service, health organization, or wellness provider, and does not hold itself out as one.

The coaching relationship - including the delivery of dietary plans, macro recommendations, and any associated guidance - exists exclusively between you and your coach. PrepCoach is not a party to that relationship and does not control, review, validate, or guarantee the content, accuracy, completeness, or suitability of any coaching services provided through the Platform.

3.2 No Medical or Nutritional Advice

Nothing on the PrepCoach platform - including meal plans, macro targets, food database entries, check-in forms, messaging, or any communications facilitated through the Service - constitutes medical advice, clinical nutritional counseling, or any form of healthcare guidance. All content available through the Platform is for general organizational and informational purposes only.

You should consult a qualified healthcare professional, registered dietitian, or licensed physician before:

• Beginning any new diet or structured nutrition program
• Making significant changes to your current dietary habits
• Using the Platform if you have a diagnosed medical condition
• Using the Platform if you are pregnant, nursing, or taking prescription medications

3.3 Coach Responsibility

Coaches accessing PrepCoach are independent professionals - not employees, agents, or contractors of PrepCoach. Coaches bear sole and full responsibility for:

• All meal plans, macro calculations, and nutritional recommendations they create and deliver to clients
• The accuracy, appropriateness, and safety of the guidance they provide
• Compliance with all laws, regulations, and licensing requirements applicable to their practice and jurisdiction
• Maintaining any required professional credentials, certifications, or liability insurance
• Ensuring their services are appropriate for each individual client's needs and circumstances
• Maintaining appropriate professional boundaries and not providing services that require a medical license

PrepCoach does not verify, audit, certify, or endorse the qualifications, credentials, or the content produced by coaches using the Platform. PrepCoach expressly disclaims any responsibility for the coaching services delivered by independent coaches through the Service.

3.4 User Responsibility

As a client, you accept personal responsibility for your own health and wellness decisions when using the Platform. By using the Service, you acknowledge that:

• You are voluntarily choosing to follow dietary plans or guidance provided by your coach
• You are responsible for evaluating whether any guidance you receive is appropriate for your individual circumstances and health status
• You accept the inherent risks associated with changes to diet, exercise, and nutrition habits
• PrepCoach cannot verify or guarantee the accuracy, completeness, or suitability of any coach-provided content for your specific situation
• Dietary and fitness programs may not be suitable for all individuals and results will vary
• You will seek independent professional medical advice before making significant changes to your health or wellness routine

Any action you take based on content available through the Platform is taken at your own informed discretion and risk.

4. User Accounts

4.1 Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.

4.2 Account Types

• Coach Accounts: For nutrition coaches and fitness professionals managing client plans and communications
• Client Accounts: For individuals receiving coaching services through the Platform

4.3 Account Security

You are responsible for the security of your account. Please notify us immediately at the contact address below if you suspect any unauthorized use of your account.

5. Subscription and Payment Terms

5.1 Subscription Plans

Premium coaching features require a paid subscription. Pricing and included features are clearly displayed in the app before purchase.

5.2 Automatic Renewal

Subscriptions automatically renew at the end of each billing period (monthly) until cancelled. You will be charged the then-current subscription fee using the payment method on file.

5.3 Payment Processing

Web subscriptions are processed securely through Stripe, Inc. By subscribing on the web, you agree to Stripe's terms of service. Subscriptions purchased through the iOS App Store are processed by Apple and subject to Apple's payment terms. PrepCoach does not store full payment card numbers on its servers.

5.4 Cancellation

You may cancel your subscription at any time. To prevent future charges, you must cancel before your next billing date. Cancellation takes effect at the end of the current billing period, and you retain access to premium features through that date.

5.5 Refund Policy

All sales are final. Refunds are not provided except as required by applicable law. Subscribing constitutes payment for access to the Service for the specified billing period. Cancelling stops future charges but does not entitle you to a refund for the current period already paid. For subscriptions purchased through the Apple App Store, refunds are handled by Apple and subject to Apple's refund policy.

5.6 Price Changes

We reserve the right to update subscription pricing. We will provide at least 30 days' advance notice of any pricing changes. Continued use of the Service after a price change takes effect constitutes acceptance of the updated pricing.

6. User Conduct

6.1 Prohibited Activities

You agree not to:

• Provide false or misleading account information
• Impersonate another person, entity, or professional
• Share your account credentials with others
• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Systematically scrape, copy, or extract content from the Service
• Attempt to reverse engineer or access the Platform's underlying source code
• Misrepresent your professional qualifications or credentials

6.2 Content Ownership

You retain ownership of meal plans, client data, and other content you create on the Platform. By using the Service, you grant PrepCoach a limited, non-exclusive license to store, display, and transmit your content solely as necessary to operate and provide the Service.

6.3 Coach Professional Standards

Coaches agree to maintain professional standards consistent with their field of practice. This includes representing qualifications accurately, complying with applicable laws and licensing requirements, and maintaining appropriate boundaries - including not providing medical diagnosis or clinical treatment through the Platform.

7. Intellectual Property

The PrepCoach platform - including its design, functionality, codebase, and branding - is owned by PrepCoach and protected by applicable copyright, trademark, and intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written permission.

8. Data and Privacy

Your use of the Platform is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9. Limitation of Liability

9.1 Service Provided As Is

The Service is provided on an "as is" and "as available" basis. PrepCoach makes no warranties, express or implied, regarding the Service, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.

9.2 Coach-Generated Content

PrepCoach expressly disclaims any and all responsibility for meal plans, macro calculations, nutritional recommendations, and any other content created by coaches and delivered through the Platform. PrepCoach is not responsible for any adverse health outcomes, injury, illness, or other harm arising from a user's reliance on coach-generated content provided through the Service.

9.3 Limitation of Damages

To the maximum extent permitted by applicable law, PrepCoach and its owners, affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to:

• Physical injury, illness, or adverse health outcomes resulting from following meal plans or dietary guidance delivered through the Platform
• Loss of data, content, or access to your account
• Loss of profits, revenue, or business opportunities
• Service interruptions, outages, or technical failures
• Damages arising from reliance on any content accessed through the Platform

9.4 Maximum Liability Cap

To the maximum extent permitted by law, PrepCoach's total cumulative liability for any and all claims arising from your use of the Service shall not exceed the total amount you paid to PrepCoach during the twelve (12) months immediately preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless PrepCoach and its affiliates, officers, and employees from and against any claims, liabilities, damages, judgments, or costs (including reasonable legal fees) arising from:

• Your use of the Service
• Your breach of these Terms
• Your violation of any applicable law or third-party rights
• Any nutrition guidance, meal plans, or advice you provide as a coach through the Platform

11. Termination

11.1 Termination by You

You may close your account at any time by contacting us or using the account deletion feature within the app.

11.2 Termination by Us

We reserve the right to suspend or terminate your account for:

• Violation of these Terms
• Fraudulent, abusive, or harmful conduct
• Non-payment of subscription fees
• Any activity we reasonably determine to be harmful to the Platform, other users, or third parties

11.3 Effect of Termination

Upon termination, your access to the Service will cease. We are not obligated to retain your data following account termination, subject to our Privacy Policy and applicable law.

12. Modifications to Terms

We reserve the right to update these Terms at any time. We will provide notice of material changes via email or in-app notification. Your continued use of the Service following notice of any changes constitutes acceptance of the updated Terms.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable rules, except where prohibited by law. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction where necessary to protect its rights.

14. Miscellaneous

14.1 Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and PrepCoach regarding your use of the Service and supersede any prior agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

14.3 No Waiver

PrepCoach's failure to enforce any right or provision of these Terms on any occasion shall not be construed as a waiver of that right or provision in the future.
